Please read carefully. These Terms govern your access to and use of Zynopay's software platform and professional services. By subscribing to any plan or using any service, you agree to these Terms on behalf of your business.

1. Definitions

"Zynopay" means Zynopay Private Limited (CIN: U62013TN2025PTC187716)
"Platform" means the software-as-a-service product accessible via zynopay.in
"Customer" / "You" means the business entity subscribing to or using the Platform
"Services" means any subscription, consulting engagement, or professional service offered by Zynopay
"Subscription" means a recurring payment for access to the Platform on monthly or annual terms
"User" means any individual authorised by Customer to access the Platform

2. Our Services

Zynopay provides business payment technology software and consulting services, including:

Merchant enablement and digital payment setup support
Invoice management software (SaaS)
Billing and subscription management software (SaaS)
Payment workflow automation software (SaaS)
Digital commerce enablement and storefront setup
API integration consulting and technical advisory

Zynopay provides software tools and consulting services to help businesses manage their payment operations. Zynopay does not itself process, hold, or transfer funds on behalf of customers or their end consumers.

3. What Zynopay Is Not

Important disclosure: Zynopay Private Limited is NOT a bank, payment aggregator, payment gateway, prepaid payment instrument issuer, or regulated financial entity under the Payment and Settlement Systems Act, 2007 or any Reserve Bank of India regulation. We do not hold, transmit, or settle funds. All payment processing is conducted by licensed third-party payment gateways integrated by or at the direction of our customers.

Zynopay does not currently operate as a BBPS front-end agent or back-end institution participant. Any reference in our company objects to BBPS activities relates to a potential future business line and does not reflect current operations.

4. Accounts and Registration

You must be a duly incorporated or registered business entity to subscribe to Zynopay's services
You must provide accurate business information including valid GSTIN and PAN at registration
You are responsible for maintaining the confidentiality of your account credentials
You must promptly notify us of any unauthorised access to your account
Each subscription is for a single business entity. Multi-entity use requires separate subscriptions unless otherwise agreed in writing

5. Payment Terms

5.1 Subscription Billing

Subscriptions are billed monthly or annually in advance
All prices are in Indian Rupees (INR) and exclusive of GST unless stated otherwise
GST at 18% is added to all invoices as applicable
Payment is due on or before the invoice date; late payments may result in service suspension

5.2 Price Changes

Zynopay may change subscription prices with 30 days' advance notice. Price changes take effect at the next renewal date following the notice period. Continued use constitutes acceptance of the new price.

5.3 Taxes

Customers are responsible for all taxes applicable to their use of the platform beyond GST charged by Zynopay on our services.

6. Acceptable Use

You agree not to use the Platform to:

Process payments for illegal goods or services
Engage in fraudulent transactions or misrepresent your business nature
Violate any applicable Indian law including the IT Act, FEMA, or PMLA
Transmit malware, spam, or conduct denial-of-service attacks
Reverse-engineer, decompile, or copy the Platform's software
Sub-license, resell, or white-label the Platform without written authorisation
Process transactions for businesses in RBI-prohibited categories

Zynopay reserves the right to suspend or terminate access upon detection of prohibited use, without prior notice where required by law.

7. Intellectual Property

All software, content, trademarks, logos, and documentation on the Platform and website are owned by or licensed to Zynopay Private Limited. Your subscription grants you a limited, non-exclusive, non-transferable licence to use the Platform for your internal business operations during the subscription term.

You retain all rights to data you upload to or generate on the Platform ("Customer Data"). You grant Zynopay a limited licence to process Customer Data solely to provide the Services.

8. Customer Data

Zynopay processes Customer Data in accordance with our Privacy Policy. You represent and warrant that you have all necessary rights and consents to upload Customer Data to the Platform.

9. Warranties and Disclaimers

Zynopay warrants that the Platform will perform materially as described in our documentation during the subscription term. We will use commercially reasonable efforts to maintain 99% monthly uptime, excluding planned maintenance.

THE PLATFORM IS PROVIDED "AS IS" TO THE EXTENT PERMITTED BY LAW. ZYNOPAY DOES NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT THE PLATFORM WILL MEET REQUIREMENTS SET BY ANY SPECIFIC PAYMENT GATEWAY OR REGULATOR.

10. Limitation of Liability

To the maximum extent permitted by Indian law:

Zynopay's aggregate liability for any claim arising under these Terms shall not exceed the amount paid by you to Zynopay in the 3 months preceding the claim
Zynopay shall not be liable for indirect, consequential, incidental, or punitive damages including loss of profits or business interruption
Zynopay is not liable for the acts or omissions of third-party payment gateways or financial institutions

Nothing in these Terms excludes liability for death, personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.

11. Termination

11.1 By Customer

You may cancel your subscription at any time via your account dashboard or by contacting support@zynopay.in. Cancellation takes effect at the end of the current billing period. See our Cancellation Policy for details.

11.2 By Zynopay

Zynopay may suspend or terminate your account immediately for: breach of Acceptable Use policy, non-payment (after 7 days' notice), fraudulent activity, or legal requirement. We may terminate without cause with 30 days' written notice.

11.3 Effect of Termination

On termination, your licence to use the Platform ceases. Customer Data is available for export for 30 days following termination, after which it will be deleted per our data retention policy.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Chennai, Tamil Nadu. Parties agree to attempt good-faith resolution before initiating legal proceedings.
